Terms and Conditions and Data Protection

1. General Terms

1.1 Service Standards

  • The Vendor will perform all services in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience.
  • Due to the nature of WordPress and plugins in the WordPress Plugins Directory, the Vendor cannot guarantee that work will be entirely error-free.
  • The Vendor cannot accept liability for losses caused by the unavailability, malfunction, or interruption of the Client’s website.

1.2 Term and Termination

  • Either party may terminate this Contract for Services immediately without notice.
  • The obligations regarding confidentiality and data protection remain in force after termination.

1.3 Governing Law

These terms are governed by the law of England, Scotland & Wales and are subject to the exclusive jurisdiction of the Courts of England, Scotland & Wales.

2. Confidentiality

2.1 Confidentiality Obligations

The Vendor agrees to:

  • Not disclose or use any of the Client’s trade secrets or confidential information at any time during or after an Assignment, unless expressly authorized
  • Return all documents and materials created during the Assignment to the Client
  • Not make copies, abstracts, summaries, or précis of any Client documents or materials except when required for Assignment duties

2.2 Duration of Obligations

Confidentiality obligations remain in full force and effect and are fully enforceable by the Client even after termination of this agreement.

3. Data Protection

3.1 Data Processing Principles

The Vendor commits to processing personal data according to these principles:

  1. Lawfulness, fairness, and transparency
  2. Purpose limitation
  3. Data minimization
  4. Accuracy
  5. Storage limitation
  6. Integrity and confidentiality

3.2 Vendor Commitments

The Vendor will:

  1. Identify legal basis for processing personal data in advance
  2. Process data only as expected within this policy and privacy notices
  3. Maintain appropriate privacy notices
  4. Collect only necessary personal data
  5. Maintain data accuracy
  6. Retain data only as long as needed
  7. Implement appropriate security measures

3.3 Data Subject Rights

  • The Vendor will facilitate requests from data subjects exercising their rights under data protection law
  • Responses will be concise, transparent, intelligible, and easily accessible
  • Responses will be provided without undue delay

3.4 Staff Training and Compliance

  • All staff handling personal data will be adequately trained and supervised
  • Staff will be aware of their responsibilities under this policy
  • Regular compliance monitoring will be conducted

3.5 Data Usage

  • Personal data collected will be used only for the purpose of this Agreement
  • The Vendor consents to the Client processing their data for legal, personnel, administrative, and management purposes, including “sensitive personal data” as defined by applicable data protection laws
